Bed Bath & Beyond Expands Home Services Division with Acquisition of Cabinets To Go Owner F9 Brands

Less than a week after announcing plans to purchase The Container Store, Bed Bath & Beyond (BBBY) has announced another acquisition to round out its growing Beyond Home Services division. The company has agreed to acquire equity interest and substantially all assets of F9 Brands — which owns and operates Cabinets To Go, Lumber Liquidators, Gracious Home/Thos. Baker and Southwind Building Products — for nearly $150 million.

The transaction is being funded with $37 million in cash and approximately 16 million shares of BBBY common stock at $7 per share, representing a transaction value of $107 million at the current market price. An additional $40 million of financing from an existing BBBY lender will roll into the deal, which is expected to close after the company’s annual shareholder meeting in May 2026.

Expanding the Bed Bath & Beyond Offering into Higher-Ticket Categories

The companies being acquired already are well-integrated in the home building ecosystem. Cabinets To Go is the largest specialty retailer of kitchen cabinets in the U.S., with more than 100 stores nationwide; Southwind Building Products supplies flooring and building materials to a network of 4,400 independent retailers and contractors across the country; and Lumber Liquidators, which joined the F9 family following its 2024 bankruptcy, is a specialty retailer of waterproof and hardwood flooring with more than 200 stores nationwide.

All of this will help further BBBY Executive Chairman and CEO Marcus Lemonis’ vision of building an integrated home ecosystem that, in addition to supplying homeowners with the products they need through retail banners like Bed Bath & BeyondOverstockBuyBuy Baby and now The Container Store, also helps homeowners finance, protect and care for their home.

The F9 acquisition, along with the addition of The Container Store divisions Elfa and Closet Works, will expand the product side of that business from traditional retail into higher-ticket, higher-margin, project-based categories, including kitchens, flooring and custom storage.

The goal is to serve customers across the full lifecycle of homeownership, from design and product selection to installation and even financing, thereby increasing average transaction size, average transaction margin and customer lifetime value.

In addition to the standalone Cabinets To Go and Lumber Liquidators stores, BBBY customers will have access to F9 Brands’ products and services through the Custom Spaces section of The Container Store/Bed Bath and Beyond stores, creating full-service home project centers where customers can design, purchase, finance and install complete home solutions.

“With the anticipated addition of Lumber Liquidators and Cabinets To Go to Elfa and Closet Works, Beyond Home Services is established with the brands, the capabilities and the team to serve the homeowner from concept to completion,” said Lemonis. “Each brand owns a distinct category — modular storage systems, custom closets, flooring, cabinets and countertops, carpet and hard surface flooring distribution — and together with our installation services and field sales organization, we can take the homeowner through the full lifecycle of a renovation, all under one platform.”

F9 Brands CEO to Lead Beyond Home Services

F9 Brands generated approximately $522 million in net delivered sales in fiscal 2025 and currently has approximately $130 million of inventory on hand, according to the Bed Bath & Beyond announcement. BB&B said it expects to grow those sales figures by activating the existing BBBY customer base, enhancing margin performance and finding cost savings through improved operational efficiency. F9 and its management team will be entitled to a one-time earnout of $25 million if F9 Brands achieves $20 million in EBITDA in any of the next five calendar years.

Current F9 Brands President and CEO Jason Delves will lead that charge as the CEO of Beyond Home Services. He also will join the executive leadership team of BBBY. Delves has led F9 Brands since 2019, growing the company both organically and through acquisitions from $145 million to $522 million in sales. Prior to joining F9 Brands, Delves was the President and CEO of a flooring manufacturer and distributor for 18 years.
