Spencer Spirit Holdings to Acquire Hot Topic, BoxLunch and Her Universe

Spencer Spirit Holdings Inc., the parent company of Spirit Halloween, Spencer’s and Spirit Christmas, has signed an agreement to acquire Hot Topic Inc. and its portfolio of brands (Hot Topic, BoxLunch and Her Universe) from private equity firm Sycamore Partners.

The deal will expand the company’s retail footprint to 3,000 locations, according to a news release. Terms of the deal were not made public.

Hot Topic Inc. CEO Steve Vranes, who has served in the role for 10 years, will continue to oversee Hot Topic, BoxLunch and Her Universe. Vranes will report to Spencer Spirit Holdings CEO Steven Silverstein.

Spencer Spirit Holdings and Hot Topic’s Combined Portfolio of Brands

New Jersey-based Spencer Spirit Holdings Inc.’s portfolio has three brands, which include:

  • Spirit Halloween, which was founded in 1983 and is the largest Halloween retailer in North America, operating across more than 1,550 locations.
  • Spencer’s, which was founded in 1947 and sells trend-driven lifestyle products in more than 650 locations.
  • Spirit Christmas, which was introduced in 2024 and is expected to have 44 locations this year.

Based in City of Industry, Calif., Hot Topic Inc.’s portfolio includes:

  • Hot Topic, which was founded in 1989 and describes itself as a “cultural icon and fandom haven for shoppers obsessed with music, entertainment and all things pop culture.” The company operates more than 615 store locations across the U.S. and Canada.
  • BoxLunch, which launched in 2015 and is a specialty retailer of licensed pop-culture apparel, accessories and collectibles. It has more than 280 stores across the U.S.
  • Her Universe was founded in 2010 and is a lifestyle fashion brand focused on fandom-centric apparel and accessories.

Hot Topic, BoxLunch and Her Universe will continue to operate independently from the Spencer Spirit business and maintain their California headquarters.

The transaction, which is subject to customary closing conditions and regulatory approvals, is expected to close in the third quarter.
